Terms of Use

These Terms apply to your use of the ClubInfluencer website, mobile app, and related services (the “Service”).

1. Who we are

The Service is provided by Okbel Limited, company number 17024660, registered office: 3rd Floor, 45 Albemarle Street, London, W1S 4JL, United Kingdom (“we”, “us”, “our”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian.

You must also be legally able to enter into these Terms and, where applicable, receive payouts and provide any required tax or verification information.

3. The Service

ClubInfluencer is a platform for influencers and creators to discover campaigns or products, create and manage promotional content, track referrals or conversions, and receive commissions or other payouts.

We may use third-party providers to support the Service, including for tracking, attribution, analytics, linking, and deep-linking, such as Branch.io.

We may modify, suspend, or remove any part of the Service at any time. We do not guarantee campaign availability, approval, results, uninterrupted access, or error-free operation.

4. Accounts

You must provide accurate, complete, and up-to-date information and keep your login details secure. You are responsible for activity on your account.

If you think your account has been accessed without permission, you must notify us promptly.

You may request account deletion in the app or website settings, or via support email. We may retain limited data where needed for legal, tax, accounting, security, fraud-prevention, compliance, or dispute-resolution purposes.

Accounts, campaign rights, and payout rights are personal to you and may not be assigned, sold, transferred, shared, or sublicensed without our prior written consent.

5. Campaigns and influencer obligations

If you participate in campaigns, you are responsible for ensuring that your content, posts, captions, links, claims, and endorsements are accurate, lawful, and not misleading.

You must comply with all applicable laws, platform rules, and advertising standards, including clear disclosure of sponsored, gifted, paid, or affiliate content. This includes applicable FTC, ASA, and other local advertising and consumer protection rules.

You must not:

make false or unsubstantiated claims;
misrepresent your relationship with a brand or merchant;
manipulate clicks, leads, conversions, or engagement;
use fake followers, bots, click farms, or fake traffic;
buy through your own links or codes unless a campaign expressly allows it;
create or encourage fake orders, fake leads, or fake sign-ups;
engage in coupon-site abuse;
use incentivised clicks or conversions unless expressly allowed;
bid on brand or merchant names in paid search where prohibited;
use spam, misleading redirects, deceptive landing pages, or similar tactics; or
breach the rules of any third-party platform where you publish content.

We may remove content, reject campaigns, reverse commissions, withhold payouts, or suspend accounts where we reasonably believe there has been fraud, abuse, non-compliance, or breach of campaign rules.

6. Payments, attribution, disputes, and tax

Campaign terms, commission rules, and payout timing will be shown in the Service.

Unless stated otherwise, the minimum payout threshold is US$50. Amounts below that threshold roll over to the next payout period.

Unless a campaign says otherwise, referral and conversion attribution is determined on a last-click basis. We may rely on our own records and the records of merchants, partners, and service providers, including Branch.io, to determine whether a referral, conversion, or payout is valid. Except for manifest error, those records are final.

We do not guarantee successful tracking in every case. If links, cookies, codes, SDKs, pixels, device identifiers, or other attribution methods fail, are blocked, altered, or cannot be verified, commissions may be unavailable, reduced, denied, or reversed.

We may adjust, withhold, cancel, delay, or reverse commissions or payouts for returns, refunds, order cancellations, duplicate transactions, chargebacks, disputes, fraud, invalid traffic, policy breaches, legal non-compliance, or campaign rule violations.

You must notify us of any payout or commission dispute within 14 days of the relevant statement or payout date. After that, the statement will be final except for manifest error.

We may offset overpayments, reversed commissions, chargebacks, fees, or other sums owed to us against future payouts. If you have been overpaid, you agree to repay the excess on request.

You are responsible for providing accurate payout, tax, and verification information. You are solely responsible for your own tax reporting, filings, VAT, duties, and other tax obligations arising from payments received through the Service.

Payments may be handled by third-party providers and subject to their terms, checks, fees, and timelines. We are not responsible for delays or errors caused by banks, app stores, payment providers, attribution providers, or incorrect details supplied by you.

7. Your content

You keep ownership of the content you submit or publish through the Service, including text, captions, images, videos, links, and campaign materials (“User Content”).

You give us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, and use your User Content as needed to operate, administer, moderate, support, secure, improve, and promote the Service, and to verify campaign performance and report results to merchants, brands, and partners.

If you submit User Content as part of a campaign, you also give us and the relevant merchant, brand, advertiser, or campaign partner a non-exclusive, worldwide, royalty-free licence to repost, publish, distribute, display, promote, whitelist, boost, run in ads, and include that User Content in reports, case studies, summaries, and marketing materials related to the campaign, brand, or promoted products or services.

You confirm that you have all rights, permissions, and consents needed to submit the User Content and grant these licences.

8. Intellectual property complaints

If you believe content on the Service infringes your copyright, trademark, or other rights, email contact@support.com with details of the alleged infringement and enough information for us to investigate.

9. Acceptable use

You must not use the Service in any unlawful, harmful, deceptive, or abusive way, including to upload, create, or share content that infringes rights, is defamatory or hateful, contains pornography or non-consensual intimate content, sexualises children, promotes self-harm, violence, fraud, malware, or criminal activity, impersonates others misleadingly, or attempts to bypass security or misuse the Service.

10. Suspension and termination

We may suspend, restrict, or terminate your access if you breach these Terms, create legal, fraud, reputational, or security risk, or where required by law, app store rules, or partner requirements.

We may also delay payouts or keep your account under review while investigating disputes, fraud, invalid traffic, chargebacks, compliance failures, or other suspected misuse.

You may stop using the Service at any time. Termination does not affect rights or obligations that arose before termination, including payment adjustments, investigations, repayment obligations, or legal claims.

11. Intellectual property

We own or license all rights in the Service, excluding your User Content. We give you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

You must not copy, modify, sell, reverse engineer, scrape, or otherwise exploit any part of the Service except as permitted by law or with our written permission.

12. Third-party services

The Service may integrate with third-party platforms and providers, including social media platforms, merchants, payment providers, app stores, analytics providers, and attribution providers. Your use of those services may also be subject to their own terms and privacy policies. We are not responsible for third-party services or content.

13. Liability

Nothing in these Terms limits or excludes liability that cannot legally be excluded, including for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or your statutory consumer rights.

Subject to that, the Service is provided on an “as available” and “as is” basis. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, revenue, business, opportunity, goodwill, or reputation, or loss caused by third-party platforms, merchants, providers, or your failure to comply with campaign or legal requirements.

Our total liability to you will not exceed the greater of:

the amount paid to you or by you through the Service in the previous 12 months; or

14. Apple and Google

These Terms are between you and us, not Apple or Google, except where platform rules say otherwise.

If you use the app on an Apple device, Apple has no obligation to provide maintenance or support and is a third-party beneficiary of these Terms to the extent permitted by law.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

If we delay or do not enforce any right, that does not waive it.

These Terms, together with our Privacy Policy and any campaign-specific terms shown in the Service, form the entire agreement between you and us regarding the Service.
